### Agency Partner Program — Terms of Service

These Agency Partner Program Terms of Service are entered into by and between **Gumshoe.ai, Inc.** and the agency or consultancy identified in the registration form. This Agreement governs the Partner's participation in the Gumshoe Agency Partner Program.

### 1. Acceptance of Terms

By clicking "I Accept" and submitting the registration form, the Partner agrees to be bound by this Agreement and the Gumshoe Terms of Service.

### 2. The Program

The Program provides participating agencies with access to preferred pricing, platform features, training resources, and other benefits as described on the Gumshoe website.

### 3. Pricing and Billing

The Partner will receive preferred agency pricing on Gumshoe Solutions. Invoices are payable upon receipt.

### 4. Platform Access and Usage

Upon enrollment in the Program, the Partner will receive access to the Gumshoe platform in accordance with the Program Benefits.

### 5. Intellectual Property and Marketing

The Partner grants Gumshoe a non-exclusive, royalty-free license to use the Partner's name and logo for marketing purposes.

### 6. Confidentiality

Each Party agrees to maintain in strict confidence all non-public information disclosed by the other Party.

### 7. Representations and Conduct

The Partner shall not make any representations, warranties, or commitments on behalf of Gumshoe.

### 8. Limitation of Liability

In no event shall either Party be liable for any consequential damages arising out of or relating to this Agreement.

### 9. Term and Termination

This Agreement shall commence on the date the Partner submits its acceptance and continue for a period of one year.

### 10. General

This Agreement shall be governed by the laws of the State of Delaware.
